This Memorandum of Understanding ("MOU") is entered into by and between The Fibroid Pandemic/Pad The Pandemic (hereinafter referred to as the "Organizer") and __________________________________ (hereinafter referred to as the "Guest Speaker"), collectively referred to as the "Parties."

Purpose:
The purpose of this MOU is to outline the agreement between the Organizer and the Guest Speaker regarding the Guest Speaker’s participation in The Fibroid Awareness Sneaker Gala.
DATE: Saturday November 8th 2025
TIME: 6pm-10pm
PLACE: The Gathering Spot

Independent Contractor Status:
The Guest Speaker acknowledges that they are acting as an independent contractor, as defined by the Internal Revenue Service. While performing services under this MOU, the Guest Speaker will not be regarded as an employee of Pad The Pandemic for purposes of insurance, worker’s compensation, or any other purpose.

Non-Paid Speaker Event:The Speaker acknowledges that their participation in the The Fibroid Awareness Gala is voluntary and unpaid. Neither compensation nor royalties for said participation will be provided now or in the future by Pad The Pandemic, RUN F.A.R. 5K, or any affiliates.

Social Media Promotion:

The Guest Speaker agrees to provide the following promotional support:

Social Media: A total of 4 posts on Instagram and/or Facebook prior to the event (no other platforms required), with optional posts in Instagram/Facebook stories during the week of the event.

Email Campaigns: Inclusion of event details in 3 separate email blasts prior to the event.

The Organizer will provide fliers, event details, and graphics. The Guest Speaker reserves the right to rebrand, redesign, or represent the information in a manner consistent with their business branding and tone. All posts will tag @thefibroidpandemic.

The Organizer agrees to furnish all event details and graphics well in advance of the promotion period, to ensure proper integration into a mutually agreed-upon promotional schedule.

Likeness and Voice Consent:
The Guest Speaker consents to the recording of their likeness and voice (video, audio, photography, or any other medium) in connection with the 2025 Fibroid Awareness Sneaker Gala.
The Organizer is authorized to use these recordings, along with the Guest Speaker’s name, on its website, social media channels, and related promotional materials for promotional use of the 2025 event and future promotions highlighting past speakers to showcase the impact of The Organizer’s events.
This use is not for commercial sale or monetization of the Guest Speaker’s likeness.

Confidentiality:
Both Parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this collaboration and not to disclose it to any third party without prior written consent.

Termination:
Either Party may terminate this MOU by providing written notice to the other. Termination shall be effective upon receipt of such notice.

Governing Law:
This MOU shall be governed by and construed in accordance with the laws of the State of Georgia, USA.

Acknowledgment and Acceptance:
By signing below, the Parties acknowledge and agree to the terms and conditions outlined in this MOU.
