This Memorandum of Understanding ("MOU") is entered into on this between Pad The Pandemic, hereinafter referred to as the "Organizer," and hereinafter referred to as the "Speaker," collectively referred to as the "Parties."

Purpose:
The purpose of this MOU is to document the agreement between the Organizer and the Speaker in collaboration on activities related to the The Fibroid Awareness Gala scheduled to take place on Saturday July 26th 2025 TIME: 6pm-10pm PLACE: The Gathering Spot, 384 Northyards Boulevard NW, Atlanta, GA

Independent Contractor Status:
The Speaker acknowledges that they are acting as an independent contractor, as defined by the Internal Revenue Service. While performing services under this MOU, the Speaker will not be regarded as an employee of Pad The Pandemic for purposes of insurance, worker’s compensation, or any other purpose.

Non-Paid Speaker Event:
The Speaker acknowledges that their participation in the The Fibroid Awareness Gala is voluntary and unpaid. Neither compensation nor royalties for said participation will be provided now or in the future by Pad The Pandemic, RUN F.A.R. 5K, or any affiliates.

Social Media Promotion:
As part of the agreement, the Speaker agrees to promote the The Fibroid Awareness Gala on their social media platforms. The Speaker commits to sharing the event to Social media platforms for promotion may include but are not limited to Instagram, Facebook, TikTok, Twitter, and any other relevant social media outlets. Promotion may also include sharing the event as part of the Speaker's email campaign or newsletter. The Organizer will provide each Speaker with promotional materials such as flyers and/or social media images for posting to the Speaker's social media platforms. The speaker is requested to tag Pad The Pandemic and The Fibroid Pandemic.

Likeness and Voice Consent:
The Speaker consents to the recording of their likeness and voice in video, audio, audio-video, photographic, or any other copying or recording medium, still or moving. The Speaker authorizes the Organizer to use their name in connection with the image and agrees that the image may be hosted by the Organizer on its website, social media, email campaign, etc.

Confidentiality:
Both parties agree to keep any confidential information disclosed during the course of this collaboration confidential and to not disclose such information to any third party without prior written consent from the disclosing party.

Termination:
Either party may terminate this MOU by providing written notice to the other party. Termination shall be effective upon receipt of the written notice.

Governing Law:
This MOU shall be governed by and construed in accordance with the laws of Georgia, USA.

Acknowledgment and Acceptance:
By signing below, the Parties acknowledge and agree to the terms and conditions outlined in this MOU.
